Usage License Agreement (Free Download License)

Definitions
1.1 "Content" refers to all photos and videos provided by the Licensor.
1.2 "Licensee" refers to the individual or entity downloading the Content under this free license.
1.3 "Commercial Use" includes any use of the Content for commercial purposes such as advertising, promotion, marketing, merchandising, or posting on social media accounts with 1,500 or more followers.
1.4 For the purposes of this free download license, the Content may be used free of charge only for personal, non-commercial purposes, which includes posting on social media accounts with fewer than 1,500 followers.

Grant of License
2.1 Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the Content for personal, non-commercial purposes only.
2.2 The Licensee may:
a. Reproduce, distribute, and display the Content in print and digital media solely for personal, non-commercial use.
b. Post the Content on personal social media accounts provided that the account has fewer than 1,500 followers.
c. Use the Content in personal projects that do not generate commercial revenue. 2.3 Any use of the Content for Commercial Use—including posting on social media accounts with 1,500 or more followers—is excluded under this free license. Furthermore, companies (other than cycling teams) are not authorized to use the Content under this free license. Such parties must contact bram@bramdesmidt.nl for commercial licensing and pricing.

Restrictions
3.1 The Licensee shall not:
a. Resell, relicense, or redistribute the Content in any form.
b. Use the Content in a defamatory, pornographic, or otherwise illegal manner.
c. Claim ownership of the Content or remove any copyright notices or watermarks from the Content.

Term and Termination
4.1 This Agreement becomes effective upon downloading the Content and continues indefinitely unless terminated by either party.
4.2 The Licensor may terminate this Agreement immediately upon any breach of its terms by the Licensee.
4.3 Upon termination, the Licensee must cease all use of the Content and destroy any copies in their possession.

Payment
5.1 No payment is required for the use of the Content under this free download license, provided that the Licensee adheres to the non-commercial limitations described herein.
5.2 For any Commercial Use or if the Licensee is a company (except cycling teams), a separate licensing fee applies as communicated by the Licensor.

Intellectual Property Rights
6.1 The Licensor retains all rights, title, and interest in and to the Content.
6.2 The Licensee acknowledges that no ownership rights are transferred by the download or use of the Content under this Agreement.

Indemnification
7.1 The Licensee agrees to indemnify, defend, and hold harmless the Licensor from any and all claims, liabilities, damages, and expenses arising out of the Licensee's use of the Content.

Limitation of Liability
8.1 The Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Content.

Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles.

Miscellaneous
10.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
10.2 Any modifications or amendments to this Agreement must be in writing and signed by both parties.

By downloading the Content, the Licensee acknowledges and agrees to be bound by the terms and conditions of this Usage License Agreement. Use beyond the scope of personal, non-commercial purposes—including any posting on social media accounts with 1,500 or more followers or use by companies—is not permitted under this free license and requires separate licensing.
