Usage License Agreement

1. Definitions
1.1 "Content" refers to all photos and videos provided by the Licensor.
1.2 "Licensee" refers to the individual or entity purchasing the license to use the Content.
1.3 "Commercial Use" includes any use of the Content for commercial purposes, including advertising, promotion, marketing, and merchandising, as well as posting on social media accounts with 1,500 or more followers.

2. Grant of License
2.1 Subject to the terms and conditions of this Agreement, the Licensor grants the Licensee a non-exclusive, non-transferable, and non-sublicensable license to use the Content for Commercial Use.
2.2 The Licensee may:
a. Reproduce, distribute, and display the Content in print and digital media.
b. Post the Content on social media accounts, provided the account has 1,500 or more followers.
c. Use the Content in advertisements, marketing materials, and other promotional content.

3. Restrictions
3.1 The Licensee shall not:
a. Resell, relicense, or redistribute the Content in any form.
b. Use the Content in a defamatory, pornographic, or otherwise illegal manner.
c. Claim ownership of the Content or remove any copyright notices or watermarks from the Content.

4. Term and Termination
4.1 This Agreement shall commence upon receipt of payment by the Licensee and shall continue indefinitely unless terminated by either party.
4.2 The Licensor may terminate this Agreement immediately upon breach of any terms by the Licensee.
4.3 Upon termination, the Licensee must cease all use of the Content and destroy any copies in their possession.

5. Payment
5.1 The Licensee agrees to pay the Licensor the agreed-upon fee for the license to use the Content.
5.2 Payment must be made in full before the Licensee is granted access to the Content.

6. Intellectual Property Rights
6.1 The Licensor retains all rights, title, and interest in and to the Content.
6.2 The Licensee acknowledges that they do not acquire any ownership rights by purchasing the license to use the Content.

7. Indemnification
7.1 The Licensee agrees to indemnify, defend, and hold harmless the Licensor from any and all claims, liabilities, damages, and expenses arising out of the Licensee's use of the Content.

8. Limitation of Liability
8.1 The Licensor shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Content.

9. Governing Law
9.1 This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles.

10. Miscellaneous
10.1 This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings.
10.2 Any modifications or amendments to this Agreement must be in writing and signed by both parties.

By purchasing the license and using the Content, the Licensee agrees to be bound by the terms and conditions of this Usage License Agreement.
